These Trainer Platform Terms of Service ("Trainer Terms") are a legally binding agreement between you and Clevor, Ltd. ("Spartn," "we," "us," or "our"), located at 2020 N Academy Blvd, Ste 261 #2461, Colorado Springs, CO 80909. These Trainer Terms govern your use of the Spartn trainer marketplace, including coaching services, plan subscriptions, payments, and messaging. They supplement the general Terms of Use and Privacy Policy, which also apply to you.
Part 1 — Terms for Trainers
1.1 Overview
By creating a trainer account on Spartn, completing the onboarding process, or providing coaching services through the platform, you agree to comply with these Trainer Terms. If you do not agree, do not use the trainer features.
1.2 Independent Contractor Relationship
You acknowledge and agree that:
- •You are an independent contractor, not an employee, agent, or representative of Spartn.
- •Spartn does not control the manner, method, or means by which you provide training services.
- •You are solely responsible for your own taxes, insurance, certifications, and compliance with all applicable laws.
1.3 Trainer Qualifications
You represent and warrant that:
- •You hold all necessary certifications, qualifications, licenses, and permits required to provide the training services you advertise.
- •You will accurately list your credentials, certifications, and areas of specialization in your Spartn profile.
- •Spartn may verify your credentials during onboarding but does not guarantee or endorse any trainer's qualifications.
1.4 Content and Service Quality
- •You are solely responsible for the quality, accuracy, and legality of your training programs, workout routines, nutrition guidance, and coaching sessions.
- •You are responsible for reviewing and approving any AI-generated or AI-assisted program content, sales copy, workouts, nutrition text, messages, or recommendations before publishing, selling, or sending them to clients.
- •You may not provide medical advice, diagnoses, or treatment unless you are qualified and licensed to do so under applicable law.
- •You may not post or transmit unlawful, defamatory, obscene, misleading, or fraudulent content.
- •Spartn reserves the right to remove or suspend any content or account that violates these Trainer Terms.
1.5 Pricing and Plan Creation
- •You set the name, description, price (in USD), and billing interval (e.g., weekly or monthly) for each plan you create.
- •Once a client purchases a plan, you may not retroactively change the price or terms of that specific plan for that client. You may create new plans with different pricing at any time.
- •You grant Spartn permission to collect payments on your behalf from clients for plans sold via the platform, subject to the fee structure described in Section 1.6.
1.5b Standalone Program Sales (One-Time Purchases)
In addition to recurring subscription plans, you may offer standalone programs (e.g., a 12-week workout program) as one-time purchases through the Spartn marketplace. The following applies:
- •Program purchases are processed via Stripe Embedded Checkout. Clients may pay by credit or debit card, or Apple Pay where available.
- •Upon successful payment, a claim token is issued and the program is delivered to the client's Spartn account. The client's access is tied to their account and may not be transferred.
- •The platform fee described in Section 1.6 applies to one-time program sales in the same manner as subscription plan payments.
- •One-time program purchases are generally non-refundable after the program is delivered to the client's account. Refunds may be issued at Spartn's sole discretion in cases of technical failure preventing access.
- •You are responsible for ensuring the program content you offer meets the standards in Section 1.4.
1.6 Platform Fees and Trainer Payouts
Platform Fee: Spartn retains a platform fee of 15% of each client payment by default. Your trainer share is 85% of the gross payment amount. Platform fees may vary if a custom rate has been agreed upon in writing. The current fee applicable to your account is visible in your Trainer Dashboard.
Payment Processing: Payments are processed through Stripe. You are required to connect a Stripe Express account during onboarding. Stripe's own processing fees and terms apply in addition to Spartn's platform fee.
Stripe processing fees, refunds, chargebacks, disputes, tax withholding, compliance reviews, account holds, failed Stripe Connect status, or custom fee arrangements may reduce, delay, reverse, or prevent payouts.
Payout Timing:
- •Initial payment: Your payout for a client's first payment is released to your Stripe Connected Account approximately 72 hours after the client is accepted, provided the 24‑hour refund window has passed and the payment has not been refunded or disputed.
- •Recurring payments: Payouts for subsequent subscription renewals are released promptly after successful charge.
- •If a client's payment fails, is refunded, or is subject to a chargeback, no payout will be made for that period.
Chargebacks: If a client disputes a charge with their bank or card issuer, Spartn may deduct the chargeback amount (including any fees imposed by Stripe) from your future payouts. You agree to cooperate with Spartn in responding to chargebacks.
Taxes: You are solely responsible for reporting and paying any taxes associated with your earnings on the platform.
1.7 Client Acceptance and the 24‑Hour Window
When a client purchases one of your plans:
- •The client's payment is collected immediately, but their subscription status remains pending until you accept or decline the client.
- •You have 24 hours from the time of purchase to accept or decline the client.
- •If you accept: The client's subscription becomes active and your payout is scheduled per Section 1.6.
- •If you decline: The client receives a full refund and the subscription is cancelled immediately. You may provide an optional reason for declining.
- •If you do not respond within 24 hours: The system will automatically decline the client, issue a full refund, and cancel the subscription.
1.8 Refund and Cancellation Policy
- •Client 24‑hour refund window: Clients may cancel and receive a full refund within 24 hours of purchasing a plan, regardless of whether you have accepted them.
- •After 24 hours: All sales are final. No refunds are provided after the 24‑hour window unless required by applicable law.
- •Client cancellation of subscription: Clients may cancel future billing at any time. When a client cancels, they retain access to your plan until the end of the current paid billing period. No prorated refund is given.
1.9 Client Limits
Free-tier trainer accounts may accept up to 5 active clients at a time. Trainers on the Spartn Pro plan may accept unlimited clients. Active client count includes both accepted clients and those with active subscriptions.
1.10 Messaging and Communication
- •Spartn provides an in-platform messaging system for communication between trainers and clients.
- •You agree to communicate respectfully and professionally. Harassment, hate speech, threats, or illegal activity via messaging is strictly prohibited and may result in immediate account termination.
- •Spartn reserves the right to review messages in connection with safety investigations, legal compliance, or policy enforcement.
1.10b Client Data and Confidentiality
- •You may receive client onboarding answers, messages, goals, workout history, progress information, and health-adjacent fitness or nutrition data solely to provide coaching services and operate through Spartn.
- •You must keep client data confidential and may not sell it, share it, export it, or use it outside Spartn except as needed to provide your services with the client's permission or as required by law.
- •If you store or process client data outside Spartn, you are responsible for complying with applicable privacy, security, and professional obligations.
- •You must promptly report suspected unauthorized access, disclosure, or misuse of client data to [email protected].
1.11 Reviews
- •Clients may leave public reviews on your trainer profile. Reviews are visible to all users.
- •You may request removal of a review through Spartn's review removal process. Removal requests are reviewed by Spartn administrators, who may approve or deny the request at their sole discretion.
- •You may not coerce, incentivize, or pressure clients to leave or remove reviews.
1.12 Termination and Account Closure
- •You may close your trainer account at any time. Closing your account will automatically cancel all active client subscriptions, remove your plans from the marketplace, and trigger prorated refunds for clients with unused time in their current billing period.
- •Spartn may terminate or suspend your account at any time for violating these Trainer Terms, applicable law, or engaging in conduct harmful to clients or the platform.
- •Upon termination, any outstanding payouts will be processed in accordance with these Trainer Terms. Payouts may be withheld if refunds or chargebacks are owed.
1.13 Intellectual Property
- •You retain ownership of all training plans, programs, videos, and materials you create and upload to Spartn.
- •By uploading content, you grant Spartn a non-exclusive, worldwide license to display, distribute, and promote your content on the platform and in marketing materials for the purpose of operating the Spartn service.
- •You represent and warrant that you have the right to upload and distribute all content you provide.
Part 2 — Terms for Clients
2.1 Overview
By purchasing or using any training plan through the Spartn trainer marketplace, you agree to comply with these Trainer Terms. These terms apply to all client interactions with trainers on the platform.
2.2 Account Registration and Eligibility
- •You must be at least 18 years old to purchase a training plan. If you are between 13 and 17, you may only use the platform with verifiable parental or guardian consent.
- •You agree to provide accurate information when creating your account and to keep your login credentials confidential.
2.3 Purchasing Training Plans
Subscription Plans: When you purchase a trainer's plan, you will be billed automatically at the interval specified by the trainer (e.g., weekly or monthly). Your subscription begins in a pending state until the trainer accepts you.
Trainer Acceptance: Your subscription becomes active only when the trainer accepts you. If the trainer declines you or does not respond within 24 hours, your payment will be automatically refunded in full and the subscription will be cancelled.
24‑Hour Refund Window: You may cancel your plan and receive a full refund within 24 hours of purchase, whether or not the trainer has accepted you. After 24 hours, all sales are final unless required by applicable law.
2.4 Payments and Billing
- •You authorize Spartn to charge the payment method on file for recurring subscription fees via Stripe.
- •If your payment fails, your subscription may be suspended until you update your payment method.
- •You are responsible for any applicable taxes associated with your purchases.
2.5 Cancellations and Account Closure
- •Cancelling a subscription: You may cancel your subscription at any time through your account settings. Cancellation stops future billing, but you will retain access to the trainer's plan until the end of your current paid billing period.
- •Account deletion: Deleting your Spartn account will automatically cancel all active subscriptions and remove your access to all plans.
- •Spartn may terminate or suspend your account for violating these Trainer Terms, engaging in illegal activity, or abusive behavior.
2.6 Health Disclaimer and Assumption of Risk
- •You acknowledge that participating in any fitness training program carries inherent risks of injury. You voluntarily assume all such risks.
- •You should consult a physician before starting any new exercise or nutrition program, especially if you have pre-existing health conditions.
- •Neither Spartn nor any trainer on the platform is liable for injuries, health issues, or adverse outcomes arising from your participation in workouts, meal plans, or other coaching programs.
- •You confirm that you have no medical conditions preventing safe participation in exercise, or that you have obtained clearance from your physician.
2.7 User Conduct
- •You agree to interact respectfully with trainers and other users. Harassment, hate speech, threats, or illegal activities are strictly prohibited.
- •You may not share paid training content, plans, or materials with third parties or allow others to use your account.
- •You may not attempt to circumvent the platform (e.g., arranging direct payments with trainers to avoid Spartn fees).
2.8 Intellectual Property
All training plans, videos, programs, and materials provided by trainers remain their intellectual property. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use them for personal, non-commercial purposes only. You may not reproduce, distribute, resell, or publicly display any content obtained through Spartn.
Part 3 — General Provisions
3.1 Spartn's Role
Spartn operates as a marketplace platform connecting trainers and clients. Spartn is not a party to the trainer-client relationship and does not supervise, direct, or guarantee the quality of any training services. Spartn may, but is not obligated to, assist in resolving disputes between trainers and clients.
3.2 Third-Party Services
The Spartn trainer marketplace uses the following third-party services:
- •Stripe: For payment processing, subscription management, and trainer payouts via Stripe Connect. Your use of Stripe is subject to the Stripe Connected Account Agreement.
- •Firebase (Google LLC): For authentication, data storage, and real-time messaging. See Google's Terms of Service.
- •Google Workspace, Calendar, and Meet: For trainer productivity features such as meeting links, scheduling, calendar events, attendee details, and reminders when you connect or use those integrations.
- •OpenAI: For AI-assisted program sales copy, workout, nutrition, Smart Coach, meal plan, recipe, and related content generation. AI providers process inputs as service providers for Spartn features.
Spartn is not responsible for the availability, accuracy, or conduct of these third-party services. Your use of them is at your own risk and subject to their respective terms.
3.3 Limitation of Liability
The Spartn trainer marketplace is provided "as-is" and "as-available." To the maximum extent permitted by law, Spartn and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits, lost data, personal injury, or property damage, arising from your use of the platform. Our total liability is limited to the amounts paid to or through Spartn in the twelve (12) months preceding the claim. Some jurisdictions do not allow such limitations, so this may not fully apply to you.
3.4 Indemnification
Trainers agree to indemnify and hold harmless Spartn, its affiliates, officers, employees, and agents from any claims, damages, liabilities, or expenses (including reasonable attorneys' fees) arising from:
- •The training services, advice, or programs you provide.
- •Your violation of these Trainer Terms or applicable law.
- •Any injury or harm suffered by a client in connection with your services.
Clients agree to indemnify and hold harmless Spartn from any claims arising from their misuse of the platform or violation of these Trainer Terms.
3.5 Dispute Resolution
Between Trainers and Clients: Spartn is not a party to the trainer-client relationship. In the event of a dispute between a trainer and client, the parties should attempt to resolve it directly. Spartn may assist informally but is under no obligation to mediate or arbitrate.
Between You and Spartn: In the event of a dispute with Spartn, you must first send a written Notice of Dispute to [email protected], including your name, contact information, the facts of the dispute, and requested relief. We will attempt to resolve the dispute informally within 60 days.
Binding Arbitration: If unresolved, disputes (except those related to intellectual property rights) will be settled by binding arbitration under the American Arbitration Association's commercial arbitration rules. You waive the right to litigate disputes in court or to participate in a class action. Arbitration will take place in Colorado Springs, CO, unless otherwise agreed.
3.6 Governing Law
These Trainer Terms are governed by the laws of the State of Colorado, USA, without regard to its conflict of law principles. Any legal action not subject to arbitration will be brought exclusively in the state or federal courts located in Colorado Springs, CO. If local consumer protection laws in your jurisdiction provide greater protections, those protections shall apply to the extent required by law.
3.7 Force Majeure
Spartn shall not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, pandemics, government actions, internet or infrastructure outages, or third-party service failures.
3.8 Modifications to These Terms
Spartn may update these Trainer Terms from time to time. Material changes will be communicated via email or in-platform notification at least 30 days before taking effect. Continued use of the trainer marketplace after changes take effect constitutes acceptance of the revised terms. If you do not agree, you must stop using the platform and close your account.
3.9 Privacy and Data
Your use of the Spartn trainer marketplace is also governed by our Privacy Policy, which describes how we collect, use, store, and share your personal information, including health and fitness data, payment information, and communications on the platform.
